These Terms of Service ("Terms") govern your access to and use of TeamDuo's website and services (the "Service"). By using the Service, you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind it.

1. The Service

TeamDuo provides a governed gateway that lets AI agents query data sources you connect. You configure which resources are exposed, how they are masked, and who may reach them. We provide the access control, documentation layer, and audit log around those queries.

2. Your account

You must provide accurate information and keep your credentials secure.
You are responsible for all activity under your account, including your agents' activity.
You must notify us promptly of any unauthorized use.
You must be at least 16 years old and able to form a binding contract.

3. Your data and your responsibilities

You retain all rights to the data in your connected sources and to the configuration you create. You grant us only the limited license needed to operate the Service for you.

You are responsible for:

Having the right to connect each data source, and to expose the resources you choose to expose.
Configuring masking, row filters, and permissions correctly for your obligations. TeamDuo enforces the rules you set; it does not decide what should be private on your behalf.
Complying with laws applicable to the data you make available, including privacy laws.
The actions of AI agents you connect, and of the people you invite to your organization.

4. Acceptable use

You may not:

Use the Service to access data you are not authorized to access.
Attempt to bypass access controls, masking, or audit logging — yours or anyone else's.
Probe, scan, or test the vulnerability of the Service without our written permission.
Interfere with or disrupt the Service, including by imposing an unreasonable load on it.
Reverse engineer the Service, or resell it without our written permission.
Use the Service to violate any law or infringe anyone's rights.

5. Plans, fees, and trials

Paid plans are billed in advance on the interval shown at purchase. Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice before it applies to your next renewal. Free plans may be modified or discontinued, and may carry usage limits.

6. Third-party services

The Service connects to systems you choose, including AI agents and model providers operated by third parties. Those services are governed by their own terms and privacy policies. We are not responsible for what a third-party agent does with data you have chosen to expose to it.

7. Availability and warranties

We work to keep the Service available and reliable, but it is provided "as is"and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that the output of any AI agent using it will be accurate.

8. Limitation of liability

To the maximum extent permitted by law, TeamDuo will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.

9. Indemnity

You will defend and indemnify TeamDuo against claims arising from your data, your configuration, your use of the Service, or your violation of these Terms.

10. Suspension and termination

You may stop using the Service at any time and delete your account. We may suspend or terminate access if you materially breach these Terms, if required by law, or if your use poses a security risk to the Service or to others. Where practical, we will give notice first. On termination, your right to use the Service ends and we will delete your data as described in the Privacy Policy.

11. Changes to these Terms

We may update these Terms. For material changes, we will update the date above and notify account administrators. Continuing to use the Service after the change takes effect means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law rules. The courts located in Delaware will have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any court of competent jurisdiction.
